PROMOTION PERIOD.

The #LightTheFlame Promotion (the “Promotion”) begins at 1:00:01 PM EST on June 1, 2015 and ends at 11:59:59 pm EST on November 30, 2015 (the “Promotion Period”). The deadline for monthly posts is 11:59:59 pm EST on the last day of each calendar month during the Promotion Period.


ELIGIBILITY:

The Promotion is open to legal residents of the United States and the District of Columbia, age 18 years and older at the time of entry and to residents of Canada (excluding the Province of Quebec) who have reached the age of majority in their province or territory of residence at the time of entry. Employees of Lightspeed POS Inc. (“Sponsor”), and its divisions, subsidiaries and affiliated companies (collectively, the “Promotion Entities”), and the immediate family members of (including spouses, parents, step-parents, grandparents, children, step-children, and grandchildren), and those individuals residing in the same household as such individuals are not eligible to participate in the Promotion. The Promotion is void where prohibited by law and is subject to all federal, state, provincial and local laws and regulations. In order to participate, the participant (the “Entrant”) must be the owner, part owner or manager of a retail location or restaurant (the “Store”) that opened up in the United States (including the District of Columbia) or Canada (excluding the Province of Quebec) at any time after January 1, 2015 (inclusively) and before the end of the Promotion Period. The Sponsor has the right to require at any time proof of identity and/or eligibility from the Entrant. Failure to provide such proof within a reasonable period of time could result in disqualification.


HOW TO ENTER:

To participate and become eligible for a "#LightTheFlame” prize, the Entrant must post a picture of the new store and tag Lightspeed on Lightspeed’s Instagram page located at @LightspeedPOS using hashtag #LightspeedPOS and #LightTheFlame. The “#LightTheFlame” photo should feature the store and store name in a format suitable for uploading to Facebook or similar sites (the “Photo”).


The Entrant confirms having reviewed the “Official Rules” and the Instagram “Terms &s; Conditions of Use” and “Privacy Policy” and agrees to abide thereby.


BY SUBMITTING AN ENTRY, ENTRANT ACKNOWLEDGES THAT THE PHOTO, THE POST AND ANY OTHER MATERIAL SUBMITTED AS PART OF THE ENTRY MAY BE POSTED ON SPONSOR’S WEBSITE, AT SPONSOR’S DISCRETION.



By submitting an Entry, the Entrant grants Promotion Entities and their agents an unlimited, worldwide, perpetual, exclusive license and right to publish or use the submission in any way, in any and all media, without limitation, for any purpose related to the administration of the Promotion or the advertising and promotion of the Sponsor Entities businesses and products, and without consideration to the Entrant or any other party. Sponsor’s decisions are final on all matters relating to the Promotion. By submitting an Entry, the Entrant represents that the Entrant owns all rights in any and all materials submitted in connection with such Entry and has all necessary rights to grant Sponsor the use rights set forth above.


The Photo, and text submitted by the Entrant must not:

contain personal information of identifiable individuals other than the Entrant, except if the Entrant has obtained the prior written consent of the relevant individuals to do so for the purposes of submitting an Entry in the Promotion and subsequent use of the Entry as set out in these rules;
contain any material that violates or infringes another’s rights, including but not limited to privacy, publicity or intellectual property rights, or that constitutes copyright infringement;
contain brand names, trademarks or logos of third parties other than those owned by any Sponsor Entity, which Entrant has a limited license to use to incorporate in his/her entry or entries in the Promotion, or include commercial messages, comparison or solicitations for products or services of third parties;
contain any work, image or artwork not created by Entrant;
contain material that is inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous or libellous and must not contain, depict, include or involve, without limitation, any of the following: nudity; alcohol/drug consumption.

POTENTIAL WINNER SELECTION:

On or about the 1st day of each calendar month during the Promotion Period (starting in July 2015), the Entries having obtained the most number of “Likes” during the prior calendar month will be selected as the potential winner of the Monthly Prize. In the event of a tie, the winner shall be randomly selected.


PRIZES.

For each calendar month during the Promotion Period, one (1) monthly prize is available to be won consisting of a $250 Visa Gift Card (the “Monthly Prize”), issued in the local currency based on Store location. There are two (2) Monthly Prizes available to be won. Approximate retail value of the Monthly Prize is $250 (in the local currency of winner). Odds of being selected as eligible to win a Monthly Prize depend on the number of eligible entries received during the Promotion Period.

POTENTIAL WINNER NOTIFICATION AND GENERAL CONDITIONS.

A purchase will not The Prizes must be accepted as awarded and cannot be transferred or substituted for cash or otherwise, except at Sponsor’s sole discretion. Use of the Monthly Prize will be subject to the standard terms, conditions and restrictions applicable to Visa Gift Cards in effect on the day of issuance of the Monthly Prize. Limit one (1) Monthly Prize per Store and/or business. Taxes on the prizes are the sole responsibility of the winner.


WINNER/WINNER’S LIST:

Each winner of a Monthly Prize will be announced on or before the 1st day of the following month. The Promotion is in no way sponsored, endorsed or administered by, or associated with, Instagram. By submitting an Entry, the Entrant expressly agrees to release and hold harmless Instagram from and against any and all claims, including without limitation claims relating to privacy or publicity rights that may be made against INSTAGRAM based on the Entry.
